Terms of Use

1 Preamble

1.1 Speedinvest Heroes Consulting GmbH is a registered company in Austria (company register number FN465427 b), headquartered at Stiftgasse 21/28, 1080 Vienna, Austria. The owner may be contacted via office@speedinvest-heroes.com.

1.2 Speedinvest Heroes Consulting GmbH, hereinafter referred to as “HROS”, “Company”, “We”, “Our”, or “Us”, is the owner and operator of www.hros.io, including the subdomain business.hros.io, hereinafter referred to as “Website”. 

1.3 This document and all documents referred to within this document (collectively, the “Terms of Use”) outline the contractual relationship HROS and Users of the Website enter once the User visits the Website or signs up to the Website. HROS reserves the right to update or amend the Terms of Use at any time.

1.4 Referred to as “User” are all people visiting or signing up to the Website. HROS emphasises that the subdomain business.hros.io is exclusively designed for business customers and is only intended for Users that do not qualify as Consumers, such as Business Users. Hence, “Users” are always business users.

1.4 The terms in this document contain important information and the User is required to carefully read the document and understand its terms before signing up to using the Website. 

1.5 By accessing and using the Website, the User automatically agrees to the Terms of Use. If the User does not agree with certain terms, outlined in this document, the User may contact HROS in written form and request a written amendment which clarifies the concerned terms. Such written amendment are solely issued at the discretion of HROS and no User is entitled to receive an amendment. If the User does not agree to the Terms of Use in general, the User shall not make use of the Website.  

1.6 If a User purchases a paid service offered on the Website, a separate agreement (“Terms and Conditions”), which can be found below, applies. 

1.7 This Website is intended as an e-commerce site where the User may purchase services offered by HROS. Additionally, the Website offers HR and recruiting related tools and features which are intended to be used by the internal HR department of the User, and any employees who are involved in the recruiting processes. Making these features available to third parties or sharing information provided by these features with third parties required the written consent of HROS. The commercial distribution and reselling of any content these features provide is strictly forbidden and may be penalised.  

 

2 Privacy Policy and Data Protection

2.1 The privacy and data protection of the User is of upmost importance for HROS. Some data may be collected to enable the offered services by HROS on this Website. Please visit (LINK) to find the detailed Privacy and Data Policy for this Website. 

 

3 Availability and Performance 

3.1 HROS endeavours to ensure the Website is as available and interruption-free as possible. Nevertheless, technical disruptions, such as, but not limited to, hardware and software errors, can occur and may cause temporary unavailability. The User may not claim any refunds or damages for temporary availabilitiy issues. HROS commits to resolving technical issues in due time, but cannot be held responsible for technical issues concerning third party services which are used to provide the Website. 

3.2 HROS continuously strives to provide the best possible product to its Users and hence, frequently improves, updates or launches features. The Website may be unavailable during such maintenance and service works, which may cause temporary disruption to the User. However, HROS commits to schedule such planned works in such ways, it causes the minimal disturbance to its Users, when possible. 

 

4 Registration and Website access

4.1 The Website is exclusively offered to business clients and hence, only registered companies, or their authorised representatives are entitled to register to business.hros.io and open a business account. In order to open an account certain company or personal data may be required. The User must provide this information with accuracy and keep the data up to date. 

4.2 As HROS offers specific niche HR services in the startup and innovation space in Europe, HROS reserves the right to reject signup requests at their discretion.

4.3 Every new account is screened and checked by HROS before being approved. The Company commits to ensure a timely approval process, but may need to contact the User in order to clarify the User’s intent in using the Website. 

4.4 During the approval process, temporary, but limited, access to the Website may be granted to the User. During this time, the purchase of services is restricted and may only be activated once the approval process has been completed positively. Once the User has been approved, all free features and tools will be made available, the account will be activated and the User may purchase products and services offered on the Website. 

 

5 Right and obligations of the User

5.1 All access and login data must be kept confidential and may only be shared with authorised representatives, which are authorised to purchase paid services. 

5.2 The User must notify HROS immediately if a data breach occurs or such confidential information was shared with unauthorised parties. 

5.3 The User is responsible to share all information in a truthful and well-intended manner. Any misuse may cause the termination of the company account. 

5.4 The User may ask to be removed from the Website and request the closure of its account in written form, using the provided contact details in this document, at any time. HROS ensures this request will be dealt with within a reasonable timeframe, upon receiving such request.  

5.5 Paid services and features are only made available through the Website. If a User requests the termination of its account while paid services or products are still active, the User automatically forgoes the right to use these services and products. No refunds will be granted by HROS in such a case. 

 

6 Rights and obligations of HROS

6.1 HROS positions itself as leading personality-based recruiting and HR tech company in Europe. It commits itself to provide its business customers with outstanding recruiting and HR support. Furthermore, HROS will ensure that the Website is available and up to the latest IT standards, when possible. 

6.2 HROS is not obliged to monitor the User’s behaviour or the accuracy of the provided information by the User. However, it reserves the right to address wrongdoings and terminate accounts when necessary. 

6.3 HROS may, at its reasonable discretion, taking into account the interest of the User, impose one or more sanctions against the User if it has violated these Terms of Use or the Terms and Conditions for paid services and products, if such services and products were purchased. The severity of these sanctions shall be based on the severity of the violations, but may lead to the immediate termination of the account and legal action, when necessary. 

 

7 Limitation of Liability

7.1 Unless otherwise explicitly stated and without prejudice to applicable statutory product liability provisions, Users shall have no right to claim damages against the Owner (or any natural or legal person acting on its behalf). This does not apply to damages to life, health or physical integrity, damages resulting from the breach of an essential contractual obligation such as any obligation strictly necessary to achieve the purpose of the contract, and/or damages resulting from intent or gross negligence, as long as www.hros.io has been appropriately and correctly used by the User.

7.2 Unless damages have been caused by way of intent or gross negligence, or they affect life, health or physical integrity, the Owner shall only be liable to the extent of typical and foreseeable damages at the moment the contract was entered into.

7.3 In any event of liability, the compensation may not exceed the total payments that have been, will be or would be received by the Owner from the User based on the contract over a period of 12 months, or the period of the duration of the Agreement, if shorter.

 

8 Place of Jurisdiction and governing law

8.1 The Austrian Federal Law shall apply exclusively to the contractual relationship between the User and HROS. Where applicable, EU law or the UN Convention on Contracts for the International Sale of Goods shall apply.

8.2 The sole place of jurisdiction for all disputes arising directly or indirectly from the contractual relationship between the User and HROS is the Austrian court which has jurisdiction over the place where HROS is registered. The place of jurisdiction may be changed at the sole discretion of HROS. 

 

 

Terms and Conditions | Active Sourcing

 

1 Preamble

1.2 Speedinvest Heroes Consulting GmbH, hereinafter referred to as “HROS”, “Company”, “We”, “Our”, or “Us”, is the owner and operator of www.hros.io, including the subdomain business.hros.io, hereinafter referred to as “Website”. 

1.3 This document and all documents referred to within this document (collectively, the “Terms and Conditions”) outline the contractual relationship HROS and Users of the Website enter once the User purchases paid services offered by HROS on the Website.

1.4 Referred to as “Customer” are all Users of the Website which purchase paid services and products offered by HROS on the Website. HROS services and products purchased by Users outside the Website may be subject to other Terms and Conditions, which are stated in the offer letters provided, unless otherwise stated. 

1.5 HROS exclusively offers its services and products to business clients and hence, personal consumer rights do not apply. By purchasing services and products on the Website, the Customer accepts the Terms and Conditions in this document.

 

2 Scope of Service - Active Sourcing

2.1 Upon successful completion of the Active Sourcing order form provided on the Website, and presuming due payment, the Customer purchases the following services:

2.2 Active Sourcing is a recruiting service offered by HROS to support internal HR resources of the Customer. Based on the purchased package, the Customer receives a list of talent profiles matching predefined criteria. The number of profiles delivered depends on the package, which results in different prices. 

2.3 Talent profiles are delivered online and in two possible forms, a.) as exported PDF profile b.) as profile excerpt of the HROS Career Coaching app. Said profiles may include contact details, career history, educational background, achievements and skills. The exact information provided depends on the availability and comprehensiveness of the talent profile, hence on how much the talent is willing to share. 

2.4 HROS emphasises that talent profiles are selected solely based on the predefined criteria, agreed upon between the Customer and HROS. These criteria are being submitted by the Customer in a form provided on the Website, and confirmed during a project kickoff meeting. HROS does not contact the talents and hence, it is not guaranteed that the talents are interested in the offered job. However HROS only selects talents which are likely to be interested, e.g. talent which have not been recently promoted or started a new job. 

2.5 HROS reserves the right to loosen and broaden said criteria in case the criteria turns out to be too restrictive. Criteria needs to be realistic and customary in the particular industry. 

2.6 HROS reserves the right to withhold the delivery of aforementioned services until the agreed payment terms are fulfilled. 

 

3 Payment Terms

3.1 HROS offers or will offer different payment methods on its Website. 

3.2 Payment via invoice: The Customer agrees to pay the full invoice amount within the stated payment period on the invoice, usually within 14 days as of issue date. The issue date of invoices depends on the internal HROS process and are fully up to HROS, however, must be received by the Customer latest within six months after completion of the project. 

3.3 Payment via Third Party Services: HROS may offer third party payment services, such as Stripe. Please refer to the terms and conditions of said third parties. Payment usually is required on the spot via credit card or other payment methods. In such cases, invoices will be issued following the payment. The issue date of invoices depends on the internal HROS process and are fully up to HROS, however, must be received by the Customer latest within six months after completion of the project. 

3.4 If the payment is not registered in HROS’ accounts by the stated due date, HROS reserves the right to charge interest and overdue charges according to customary market conditions and file legal charges, when necessary. The exact overdue procedure will be outlined in a demand note which will be sent to the Customer in case of delayed payment. 

 

4 Quality guarantee and refund policy

4.1 HROS always adheres to the highest industry standards and continuously strives to exceed customer expectations. 

4.2 Nevertheless, in consulting services the quality of work may sometimes be subjective and difficult to assess. For this reason, HROS requests its Customer to directly raise quality concerns with the responsible recruiting expert or the Head of Recruiting. In the unlikely event that no agreement can be reached, the Customer may directly contact HROS management and settle the dispute. HROS is fully committed to client satisfaction and will try to work out a reasonable solution. However, the Customer is not entitled to any discounts or refunds after the delivery of the talent profiles. 

4.3 In case HROS is unable to complete a project due to any reason, HROS will work towards a reasonable and satisfactory solution, and issue partial or full refunds, at discretion. 

4.4 HROS reserves the right to reject projects without reason even after the Customer has issued payment. In such case, HROS commits to refund the full payment amount within three months of cancellation. 

 

5 Cancellation Policy

5.1 After successful order, the Customer may cancel the purchased service at any time, however, no refund will be granted. HROS reserves the right to issue partly refunds in individual cases.

 

6 Limitation of Liability 

6.1 HROS cannot be held liable for any damages and claims that may arise through delayed or partial delivery of the purchased services. 

6.2 HROS cannot be held liable for faulty information, which may lead to delayed hires and hence, business losses. 

6.3 HROS adheres to the highest quality standards and aspires to never neglect accuracy. However, HROS must rely on truthful and accurate data supplied by talents and hence, cannot be held liable for any misrepresentation of facts or fraudulent activities of the talents it promotes. 

6.4 HROS cannot be held liable for any actions, unless gross misconduct is evident and proven. 

 

7 Delivery of Service

7.1 In general, HROS applies the principles of recruiting and sourcing sprints, and hence, aspires to deliver the full list of sourced profiles within a short period of time.

7.2 HROS always aspires to adhere to Customer’s requests and kindly asks its Customer to state any particular delivery wishes in time, latest at the kickoff call. Nevertheless, HROS is relying on the cooperation of its Customers and hence, Customers with particular delivery wishes are obliged to respond in timely manner in order not to delay the delivery process.

 

8 Place of Jurisdiction and governing law

8.1 The Austrian Federal Law shall apply exclusively to the contractual relationship between the User and HROS. Where applicable, EU law or the UN Convention on Contracts for the International Sale of Goods shall apply.

8.2 The sole place of jurisdiction for all disputes arising directly or indirectly from the contractual relationship between the User and HROS is the Austrian court which has jurisdiction over the place where HROS is registered. The place of jurisdiction may be changed at the sole discretion of HROS.

2 Scope of Service - Recruiting 

2.1 Upon successful completion of the Recruiting subscription order form provided on the Website, and presuming due payment, the Customer purchases the following services:

2.2 Recruiting is a subscription service offered by HROS to support internal HR resources of the Customer. Based on the purchased package, the Customer receives a certain number of job positions, which can be activated simultaneously. By activating a job position, the Customer receives full recruiting support from HROS for said position, and commits to a placement fee, which is due upon successfully hiring a talent. The placement is due when:

2.2.1 The hired talent was sourced by HROS through the HROS talent database or other talent databases.

2.2.2 Or, the hired talent was screened, interviewed or qualified by HROS. Or, interacted with HROS throughout the hiring process.

2.2.3. Or, the hired talent applied through a HROS channel, e.g. public job postings managed by HROS. 

Placement fees may be charged in retrospect, when a talent, matching aforementioned criteria, is hired even after the project has been completed. This holds true for up to two years following the completion of the project. 

Placement fees will be charged per hired talent. Meaning, if the Customer hires multiple talents per position, placement fees will be due multiple times.

2.3 Customers are legally obliged to truthfully inform HROS about hires which qualify for a placement fee, for up to two years following the completion of the project. If the Customer deceives HROS and withholds such information purposefully to avoid paying the due placement fees, HROS reserves the right to charge additional fees and interest in addition to the agreed placement fee.

2.4 HROS may charge up to two placement fees upfront as part of the subscription fee. This credit is valid until the cancellation of the subscription and will be deducted when placement fees are triggered. In case credit is still remaining at the moment of subscription expiry, the remaining placement fee credit will be refunded by HROS. 

2.5 The Customer may activate a certain number of positions simultaneously, depending on the subscription package ordered. Once a position was successfully placed, or deactivated, the Customer may activate a new position for the freed up slot.

2.6 Full recruiting support by HROS generally contains a kickoff meeting to map and structure the hiring process tailored to the Customer’s needs, and subsequent regular update calls to discuss the process. HROS manages the talent pipeline through active and passive sourcing, CV screening, screening interviews and accompanying the entire hiring process. The entire hiring process can be designed according to the existing internal process of the Customer and will be defined with the support of HROS’ recruiting experts. In order to facilitate the project, Customers may use the HROS infrastructure provided on the Website in combination with the applicant tracking system (ATS) used by HROS, or by integrating the process in the existing ATS used by the Customer. HROS recruiting experts may also support the Customer’s internal HR team with tasks related to the hiring process, e.g. reviewing job descriptions or hiring criteria.

2.7 Recruiting subscriptions are usually valid for a period of twelve months and will be automatically renewed, if not cancelled by the Customer within the stated cancellation period outlined in this document. Other arrangements than yearly subscriptions may be offered at the discretion of HROS, upon request.

2.8 HROS reserves the right to withhold the delivery of aforementioned services until the agreed payment terms are fulfilled. 

 

3 Payment Terms

3.1 Payment Terms of the subscription fee

3.1.1 HROS offers or will offer different payment methods on its Website. 

3.1.2 Payment via invoice: The Customer agrees to pay the full invoice amount within the stated payment period on the invoice, usually within 14 days as of issue date. The issue date of invoices depends on the internal HROS process and are fully up to HROS, however, must be received by the Customer latest within six months after activating the subscription.

3.2 Payment Terms of the placement fee

3.2.1 Placement fees may be charged for up to two years following the completion of the project. The completion of the project refers to a.) the successful hire of the position and the subsequent closure of said position. b.) the deactivation of the position due to internal reasons of the Customer c.) the cancellation of the subscription. 

3.2.2 Two placement fees may be charged upfront as part of the subscription fee and are due within the same conditions as the subscription fee, resulting in two credits valid for two placements.

3.2.3 In case the placement fee credit is not used up before the expiry of the subscription, HROS will refund the remaining amount.

3.2.4 Once the placement fee credit is used up, HROS will issue invoices for subsequent placement fees. The Customer agrees to pay the full invoice amount within the stated payment period on the invoice, usually within 14 days as of issue date. The issue date of invoices depends on the internal HROS process and are fully up to HROS.

 

4 Quality guarantee and refund policy

4.1 HROS always adheres to the highest industry standards and continuously strives to exceed customer expectations. 

4.2 Nevertheless, in consulting services the quality of work may sometimes be subjective and difficult to assess. For this reason, HROS requests its Customer to directly raise quality concerns with the responsible recruiting expert or the Head of Recruiting. In the unlikely event that no agreement can be reached, the Customer may directly contact HROS management and settle the dispute. HROS is fully committed to client satisfaction and will try to work out a reasonable solution. However, the Customer is not entitled to any discounts or refunds.

4.3 In case HROS is unable to deliver the contractual obligations as part of the recruiting subscription, HROS will work towards a reasonable and satisfactory solution, and issue partial or full refunds, at discretion. It is emphasised that HROS by no means guarantees successful hires, as successful hires depend by a large part on factors outside the scope of influence by HROS. However, HROS guarantees to always act in the best interests of the Customer and is fully committed to ensure successful hires, when possible. Nevertheless, customers are not entitled to refunds of the subscription fees if no successful hires are possible. However, placement fees paid upfront will be refunded in this case. 

4.4 HROS reserves the right to reject projects without reason even after the Customer has issued payment. In such case, HROS commits to refund the full payment amount within three months of cancellation. 

 

5 Cancellation Policy

5.1 After successful order, the Customer may cancel the yearly subscription within thirty days leading up to the auto renewal event, triggered at the end of the twelve month period, following the order of the subscription. In case of other arrangement, which may be offered at the discretion of HROS, different cancellation conditions apply and will be defined as part of the agreement. 

 

6 Limitation of Liability 

6.1 HROS cannot be held liable for any damages and claims that may arise through delayed or partial delivery of the purchased services. 

6.2 HROS cannot be held liable for faulty information, which may lead to delayed hires and hence, business losses. 

6.3 HROS adheres to the highest quality standards and aspires to never neglect accuracy. However, HROS must rely on truthful and accurate data supplied by talents and hence, cannot be held liable for any misrepresentation of facts or fraudulent activities of the talents it promotes.
